Welcome to KTECH Learning India ("KTECH", "we", "our", or "us"). These Terms of Service ("Terms") govern the access and use of KTECH's Learning Management System ("LMS"), software platform, services, applications, websites, and related offerings provided under the Software-as-a-Service ("SaaS") model.

By accessing or using the platform, institutions, administrators, faculty members, students, learners, and users ("Users") agree to comply with and be legally bound by these Terms.

If you do not agree to these Terms, you must discontinue use of the platform immediately.

Users accessing the platform must:

• Be authorized by the subscribing institution or KTECH
• Provide accurate and complete registration information
• Use the platform in compliance with applicable laws and institutional policies

Institutions are responsible for ensuring authorized use by their users.

Users are responsible for:

• Maintaining confidentiality of login credentials
• Preventing unauthorized access to their accounts
• Promptly reporting suspected security breaches

KTECH shall not be liable for losses resulting from unauthorized account usage caused by user negligence.

KTECH grants Clients and authorized Users a limited, non-exclusive, non-transferable, revocable license to access and use the LMS platform solely for educational and institutional purposes.

Users shall not:

• Copy, distribute, resell, or sublicense the platform
• Reverse engineer or attempt to extract source code
• Introduce malware or harmful code
• Misuse platform resources
• Use the platform for unlawful activities

KTECH may provide:

• LMS hosting and access
• Course management
• Online learning delivery
• Assessments and examinations
• Attendance tracking
• Reports and analytics
• Certification support
• Technical support services
• Integrations and customizations (where agreed)

Service scope may vary based on subscription plans or separate agreements.

KTECH shall make commercially reasonable efforts to ensure continuous service availability. However, temporary interruptions may occur due to scheduled maintenance, system upgrades, technical failures, internet/network disruptions, or force majeure events.

KTECH does not guarantee uninterrupted or error-free services at all times.

• Clients shall pay subscription/license fees as agreed commercially
• All fees are non-refundable unless otherwise specified in writing
• Delayed payments may result in suspension or termination of services
• Applicable taxes shall be borne by the Client

Institutions and Users retain ownership of academic content, documents, learning materials, and submissions uploaded to the platform.

All rights related to LMS software, technology architecture, branding, user interface, features and functionality remain the exclusive intellectual property of KTECH.

Use of the platform is also governed by KTECH's Privacy Policy. By using the platform, Users consent to the collection, processing, and use of information in accordance with the Privacy Policy.

Users shall not:

• Upload unlawful, harmful, defamatory, or offensive content
• Attempt unauthorized system access
• Disrupt platform operations
• Share copyrighted material without authorization
• Misrepresent identity or affiliation

KTECH reserves the right to remove content or suspend accounts violating these Terms.

The platform may integrate with third-party services including payment gateways, video conferencing tools, cloud hosting providers, and analytics platforms. KTECH shall not be responsible for third-party service interruptions or policies.

To the maximum extent permitted by law, KTECH shall not be liable for:

• Indirect or consequential damages
• Loss of profits or data
• Service interruptions
• User negligence
• Third-party failures
• Unauthorized access beyond reasonable control

KTECH's aggregate liability shall not exceed the total fees paid by the Client during the preceding 12 months.

Clients and Users agree to indemnify and hold harmless KTECH against claims, damages, liabilities, or expenses arising from violation of these Terms, unauthorized platform use, intellectual property infringement, or illegal or negligent conduct.

KTECH reserves the right to suspend or terminate access for breach of these Terms, non-payment, security violations, illegal activities, or misuse of the platform.

Clients may terminate services by providing written notice as per contractual terms. Upon termination, access rights may cease immediately.

KTECH shall not be liable for delays or service failures arising from circumstances beyond reasonable control including natural disasters, cyberattacks, government restrictions, internet outages, power failures, or war or civil disturbances.

KTECH may modify platform features, upgrade services, and update these Terms periodically. Updated Terms shall become effective upon publication on the platform or official communication. Continued use constitutes acceptance of revised Terms.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.

By accessing or using KTECH's LMS platform and services, Users acknowledge that they have read, understood, and agreed to these Terms of Service.
